These Terms of Service ("Terms") govern access to and use of the Bulk SMS, RCS, WhatsApp Business API, and Voice/IVR/OBD services (the "Services") provided by PromoMarketingSolution ("we", "us"). By creating an account or using the Services, you agree to these Terms.
Acceptance of terms
By accessing or using the Services, you confirm that you have the authority to bind your organization to these Terms and that you accept them on its behalf.
Description of services
We provide a CPaaS platform enabling Bulk SMS, RCS Business Messaging, WhatsApp Business API access, and Voice/IVR/OBD services, accessible via API and dashboard, as further described on our Services page.
Account registration
You must provide accurate registration information and complete any required regulatory registrations (including DLT registration for SMS in India, and WhatsApp Business API approval where applicable) before sending messages through the platform. You are responsible for maintaining the confidentiality of your account credentials.
Acceptable use
You agree not to use the Services to send or facilitate:
- Unsolicited messages in violation of TRAI regulations, DLT rules, or applicable anti-spam laws
- Content that is unlawful, fraudulent, defamatory, or infringes third-party rights
- Phishing, malware distribution, or other malicious content
- Messages impersonating another person or organization without authorization
We reserve the right to suspend or terminate accounts that violate this section, with or without notice, where necessary to prevent harm or comply with law.
Compliance obligations
You are responsible for obtaining and maintaining all registrations, consents, and approvals required to send messages/calls to your recipients, including DLT registration of entities, sender IDs, and templates, and obtaining necessary consent from message recipients under applicable law.
Fees and payment
Fees are billed according to the plan and rates agreed at signup or as published on our Pricing page. Invoices are issued monthly in arrears based on actual usage, with payment due within 15 days of the invoice date; prepaid/wallet-based billing is also available on standard plans. Accounts with overdue payments may be suspended until the balance is settled. Refunds and cancellations are handled as described in our Refund & Cancellation Policy.
Service availability
We aim to maintain high availability of the platform. Specific uptime commitments and support response times are set out in our Service Level Agreement.
Intellectual property
We retain all rights, title, and interest in the Services, including our software, platform, and documentation. You retain ownership of the content you send through the Services.
Limitation of liability
To the maximum extent permitted by law, PromoMarketingSolution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Services. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold PromoMarketingSolution harmless from claims arising out of your use of the Services in violation of these Terms or applicable law, including claims related to the content of messages you send.
Term and termination
Either party may terminate an account as described in our Refund & Cancellation Policy. We may suspend or terminate access immediately for material breach of these Terms, non-payment, or conduct that risks harm to us, our other customers, or third parties.
Governing law and disputes
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi, Delhi.
Changes to these terms
We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
